Workshop Student agreement:
Our workshops focus on the importance of trading strategies, trader development, personal psychology, trading fundamentals and best trading practices. The information provided in IntuFX/ProCoach is for educational purposes only. No information provided in the workshop is intended as advice to any attendee. Like the material delivered during lectures and the course material, responses to questions are for general educational purposes and are not intended as advice to any attendee. As you will learn through workshops of IntuFX (ProCoach LLC), or any other workshop presented to IntuFX/ProCoach clients, you are responsible for the decisions you make. Under no circumstances should it be assumed, implied or inferred that Gabriel Grammatidis, or any of the other presenters, are giving legal, tax or investment advice. Should you require legal, tax, or investment advice it is strongly recommended that you contact a professional in those fields to assist you. We suggest that you make yourself aware of the laws in your area pertaining to this subject matter. Use your own judgment, and again, consult with your own professional advisors.
In this Agreement, "workshop" means the live, instructor-led training event you have registered for, together with the associated recordings and Materials made available to you in connection with that event. It does not include any separate 1:1 or group mentoring services, which are governed exclusively by a separate agreement.
You are responsible for your own physical, emotional, and financial well-being. Attendees are strongly urged to consult with their own professional legal and financial advisors to determine if the material is suitable for their particular circumstances before implementing any strategies. We encourage you to initiate independent investigations into the laws and regulations in your area pertaining to this subject matter.
We offer a Day 1 full refund guarantee. You may withdraw from the workshop up until the end of the first day. If you elect to withdraw, please contact gabriel@intufx.com at the end of the first day to notify that you are withdrawing from the course. We will contact you regarding your refund. If IntuFX cancels a workshop, we will first offer to reschedule to a new date within 30 days; if no suitable date is offered or you do not wish to attend the rescheduled date, you will receive a full refund.
ProCoach shall not be liable for any failure or delay in delivering the workshop as scheduled due to causes beyond its reasonable control, including but not limited to illness, injury, acts of God, internet or platform outages, government action, or other circumstances outside ProCoach's control. In such cases, ProCoach will reschedule the workshop in accordance with the rescheduling and refund terms above.
Each workshop day is recorded and made available to registered participants via Zoom cloud for personal viewing for a period of 6 months following the workshop. These recordings are provided solely for your own personal, non-commercial review and remain subject to all confidentiality, intellectual property, no-resale, and credential-sharing restrictions set out in this Agreement. ProCoach does not guarantee uninterrupted availability of recordings for the full 6-month period and is not liable for any technical failure, loss, or early unavailability of recorded content.
You agree that the workshop and training materials provided you, including but not limited to, workbooks, class handouts, technical and financial information (including trading methods), data, formulas, concepts or know-how, whether such material is or has been conveyed verbally, in written, digital or other form (“Materials”), and including any unauthorized recording, screenshot, transcript, or derivative work created in violation of this Agreement, which shall likewise be deemed the sole property of ProCoach, is considered and should be treated as Confidential Information. You agree that you will not, without the prior written consent of ProCoach, copy or otherwise reproduce (except for personal, non-commercial use) ProCoach’s Confidential Information, or disclose, disseminate or otherwise communicate, in whole or in part, to any third party, except to legal and tax advisors who need to know the Confidential Information and who will have undertaken to treat the Confidential Information in accordance with the provisions of these terms and conditions. You further agree that you will not input, upload, or otherwise submit any Confidential Information to any artificial intelligence tool, chatbot, or similar service for the purpose of analyzing, summarizing, explaining, replicating, or developing derivative trading strategies or systems based on it. Any output generated from such use shall be treated as Confidential Information and derivative work subject to this Agreement.
You acknowledge that all intellectual property rights in the Materials anywhere in the world belong solely to ProCoach, and that you have been licensed (not sold) a non-exclusive, revocable, right to use the Materials, and that you have no rights in, or to, the Materials other than the right to use them for personal, non-commercial purposes. As such, you agree (i) not to copy, print (except for personal, non-commercial use), republish, display, distribute, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Materials; (ii) not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Materials, in whole or any part, nor permit the Materials or any part of them to be combined with, or become incorporated into, any other materials; (iii) not utilize the Materials to replicate the workshop or any of the presentations for commercial purposes, or to develop or attempt to develop any of the trading strategies for your employees or any other third party; (iv) not to resell, sublicense, share, gift, or otherwise provide access to the workshop, live stream, Materials, or any recording or derivative thereof to any third party who has not independently registered and paid for the workshop; and (v) not use the ProCoach trademarks without the prior written permission of ProCoach.
Your registration and access credentials (including your personal Zoom meeting link, passwords, and any login details) are personal to you and non-transferable. You agree not to share, distribute, sell, post publicly, or permit any third party to use your registration, access link, or login credentials to attend, view, or access the workshop, whether live or recorded, without ProCoach's prior written consent. Any unauthorized access obtained through your credentials will be treated as your own breach of this Agreement. This Agreement, and your rights and obligations under it, are personal to you and may not be assigned, transferred, or delegated to any other person or entity, whether by sale, gift, operation of law, or otherwise, without ProCoach's prior written consent.
THE AGGREGATE LIABILITY OF PROCOACH AND ITS STAFF, INSTRUCTORS, EMPLOYEES, OFFICERS, AFFILIATES AND AGENTS IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RELATING TO THE WORKSHOP AND/OR MATERIALS, INFORMATION AND SERVICES PROVIDED, WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, HEREBY SHALL NOT EXCEED THE FEES RECEIVED BY PROCOACH FROM YOU AND THAT AMOUNT SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAY HAVE AGAINST US AND ANY AFFILIATED PARTY. FURTHER, PROCOACH, ITS STAFF, INSTRUCTORS, EMPLOYEES, OFFICERS, AFFILIATES AND/OR AGENTS WILL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR INDIRECT DAMAGES RESULTING DIRECTLY OR INDIRECTLY FROM THE USE OF OR RELIANCE UPON ANY MATERIAL PROVIDED BY PROCOACH. THIS LIMITATION OF LIABILITY DOES NOT APPLY TO ANY CLAIM BROUGHT BY PROCOACH AGAINST YOU FOR BREACH OF THE CONFIDENTIALITY, INTELLECTUAL PROPERTY, NO-RECORDING, NO-RESALE, OR CREDENTIAL-SHARING PROVISIONS OF THIS AGREEMENT.
Any notice, communication, or update we are required or choose to send you under this Agreement will be delivered by email to the address you provided at registration, from gabriel@intufx.com or ggrammatid@aol.com, and/or posted to our Mattermost student communication platform. You are responsible for maintaining a current, working email address and checking Mattermost regularly for course-related updates.
This agreement shall be interpreted in accordance with the laws of the state of Florida without reference to its conflict of laws. Any dispute arising under or in connection with these terms and conditions, or related to any matter which is the subject of this Agreement, shall be subject to the exclusive jurisdiction of the state and federal courts of Florida. You hereby waive any objection you may have based on improper venue or forum non conveniens.
No recordings! You acknowledge and agree that all audio, video recording and other recording or transmission by any means of the workshop, in whole or in part, is strictly prohibited. This prohibition explicitly includes, without limitation, the use of any AI notetaking tool, transcription bot, or meeting-recording application (including but not limited to Fathom, Otter.ai, Fireflies.ai, Read.ai, or any similar software), whether such tool joins as a visible participant, operates through a "bot-free" or background integration, or captures the workshop by any other automated or manual means, including screenshots or screen captures of shared materials. You further agree not to permit, authorize, or knowingly allow any other person to record, transcribe, or capture the workshop on your behalf or through your device, account, or credentials.
YOU UNDERSTAND THAT PROCOACH OFFERS NO GUARANTEE EITHER EXPRESSED OR IMPLIED AS TO THE TRADING / INVESTMENT RESULTS YOU WILL OBTAIN. YOU UNDERSTAND THAT YOUR TRADING / INVESTMENT RESULTS ARE LIKELY TO VARY FROM ANYONE ELSE’S RESULTS – EVEN IF TRADING THE SAME STRATEGIES.
ProCoach provides online streaming services via Zoom (Service) to our clients during workshops. While ProCoach strives to provide a functional Service, there are a number of factors that are beyond our control which may make the Service unusable. You, as a user of the Service, are responsible for monitoring connectivity and saving all data and communication regularly. By your use of the Service, you acknowledge (i) that the Service may experience interruptions or errors or very slow speed; (ii) that viruses or other harmful applications may travel through the Service; (iii) that ProCoach does not guarantee the security of the Service and that unauthorized third parties may access your computer or files or otherwise monitor your connection; (iv) that the Service is provided “as is” and on an “as available” basis, without warranties of any kind, whatsoever; and (v) that you assume all risk and all trading losses associated with your activities conducted online through the Service and assume all liability and damages incurred by yourself that arise or result from your activities conducted online through the Service, whether known or unknown at the time of use.
You acknowledge that any breach of the Confidential Information, Intellectual Property, No-Recording, No-Resale, or credential-sharing provisions of this Agreement would cause ProCoach irreparable harm for which monetary damages alone would be an inadequate remedy. Accordingly, in addition to any other remedies available at law or in equity, ProCoach shall be entitled to seek immediate injunctive relief to prevent or curtail any such breach, without the necessity of posting a bond, and to recover its reasonable attorneys' fees and costs incurred in enforcing this Agreement.
The obligations set forth in the Confidential Information, Intellectual Property, No-Recording, No-Resale, and credential-sharing provisions of this Agreement shall survive the completion, termination, or cancellation of the workshop indefinitely.
Subject: Permission to use your video, audio and photographic images:
I authorize ProCoach, its representative and/or employees, the right to make audio, video recordings and photographs of me in attendance at the ProCoach Workshop.
I understand that ProCoach, its assigns and transferees, may edit, distribute, display and use said recordings and/or photographs, in whole or in part, in all media now known or later invented, without my name, and may copyright the recordings in its own name. I hereby give my irrevocable consent, and waive any claims, in connection with all uses including but not limited to publicity, illustration, advertising, and Web content.
This Agreement, together with the documents incorporated by reference below, constitutes the entire agreement between you and ProCoach regarding the workshop, and supersedes any prior discussions, representations, or agreements, whether written or oral, relating to its subject matter.
If any provision of this Agreement is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.
This Agreement should be read together with our Terms of Service, Refund & Cancellation Policy, Privacy Policy, and Risk Disclosure, published on our website, which are incorporated herein by reference.
